VIORA CAPITAL - MUTUAL CONFIDENTIALITY AGREEMENT
Version 2026-09-distributor-v2. Effective 8 September 2026.
1. WHO THIS IS BETWEEN
This agreement is between Viora Capital ("Viora") and the person accepting it, together with any business on whose behalf that person is acting ("you"). By checking the acceptance box you sign this agreement electronically under the federal E-SIGN Act and applicable state UETA law, with the same effect as a signature in ink.
2. WHAT IS CONFIDENTIAL
"Confidential Information" means non-public information either party shares with the other in connection with evaluating or carrying on a distribution relationship. For Viora that includes its strategies, structures, pricing, financial models, projections, project details, and the terms and existence of the parties' discussions. For you it includes non-public information about your business and your clients. Information is confidential whether it arrives in writing, verbally, or on a screen, and whether or not it is marked as confidential.
3. HOW IT MAY BE USED
Each party will use the other's Confidential Information only to evaluate and, if the parties proceed, to carry on the relationship between them. Neither party will use it for any other purpose, and neither will use it to compete with the other.
4. WHO IT MAY BE SHOWN TO
Neither party will disclose the other's Confidential Information to anyone else, except to its own employees and professional advisors who need it for the purpose above and who are bound by confidentiality obligations at least as protective as these. Each party remains responsible for anyone it shares the information with.
5. WHAT IS NOT COVERED
These obligations do not apply to information that is or becomes public through no fault of the receiving party; was already known to the receiving party without a duty of confidence; is independently developed without using the other party's Confidential Information; or is lawfully received from a third party free to disclose it.
6. WHEN THE LAW REQUIRES DISCLOSURE
If a party is required by law, regulation, or court order to disclose Confidential Information, it may do so, but will give the other party prompt notice where legally permitted so that party can seek protection, and will disclose only what is required.
7. HOW LONG THIS LASTS
These obligations begin when this agreement is accepted and continue for three years after the parties' discussions or relationship end.
8. RETURNING OR DELETING
On written request, a party will return or destroy the other's Confidential Information, except for copies kept in routine backups or retained as required by law, which remain subject to this agreement.
9. WHAT THIS AGREEMENT DOES NOT DO
Nothing here transfers ownership of, or grants a licence to, any Confidential Information or intellectual property. Nothing here obliges either party to enter into any further agreement or transaction. Viora makes no representation that any figure, model, or projection shown to you will be achieved.
10. NOT PROFESSIONAL ADVICE
Nothing Viora shares with you is tax, legal, accounting, or investment advice. Figures and models shown in the portal, including any calculator, are illustrative estimates only. You and your clients should rely on your own licensed advisors.
11. GOVERNING LAW
This agreement is governed by the laws of the State of Utah, without regard to its conflict of laws rules.
12. ACCEPTING
By checking the box you confirm that the name and email address you entered are your own, that you have authority to accept this agreement for any business you named, and that you agree to be bound by it.
